1. Scope of Services
Rabbit Invest (Invedge Assets Pvt. Ltd.) grants the Distributor access to its MFD operating platform including client portfolio management, SIP tracking, transaction reports, automated reminders and commission analytics for the term specified in Schedule A.
2. Subscription Fees (Schedule A)
The Distributor agrees to pay the Subscription Fee as set out in Schedule A. Fees are due annually in advance. GST is applicable as per prevailing rates. Late payments attract interest at 18% per annum.
3. Data Ownership & Privacy
All client data entered on the platform remains the property of the Distributor. Rabbit Invest does not share, sell or use Distributor data for any purpose outside of platform operation. Data is stored in encrypted form on Indian servers.
4. Platform Activation
Following acceptance of this Agreement, Rabbit Invest will initiate NSE/BSE activation, mailback setup with CAMS & KFintech, and provide platform credentials within 5 business days.
5. Term & Renewal
The Agreement commences on the date of electronic acceptance and continues for the term selected in Schedule A. It auto-renews unless notice of non-renewal is given 30 days prior to expiry.
6. Termination
Either party may terminate this Agreement with 30 days written notice. Upon termination, the Distributor's data will be made available for export for 60 days before deletion.
7. Limitation of Liability
Rabbit Invest's aggregate liability shall not exceed the Subscription Fees paid in the 12 months preceding the claim. Rabbit Invest is not liable for market movements, investment outcomes, or decisions made by the Distributor or their clients.
8. Governing Law
This Agreement is governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in New Delhi.
9. Electronic Acceptance
By clicking "I Agree", the Distributor confirms they have read and understood this Agreement. This electronic acceptance constitutes a valid and binding contract under the Information Technology Act, 2000, Section 10-A.
